2021 年 3 月 23 日，首航高科能源技術(shù)股份有限公司（以下簡(jiǎn)稱“公司”或 “首航高科”）與特變電工股份有限公司（以下簡(jiǎn)稱“特變電工”）簽訂了《聯(lián)合開發(fā)與合作協(xié)議》。特變電工計(jì)劃在博茨瓦納（Botswana）開發(fā)太陽能項(xiàng)目， 并密切跟蹤博茨瓦納的 2*100MW 太陽能熱發(fā)電廠（CSP）項(xiàng)目（以下簡(jiǎn)稱“光熱項(xiàng)目”），該項(xiàng)目預(yù)計(jì)今年（2021 年）業(yè)主方將啟動(dòng)國際招標(biāo)。公司與特變電工雙方同意建立合作伙伴關(guān)系，以共同準(zhǔn)備和完成該光熱發(fā)電項(xiàng)目的投標(biāo)及未來市場(chǎng)開發(fā)。根據(jù)《公司章程》規(guī)定，該合同經(jīng)公司總經(jīng)理辦公會(huì)審議批準(zhǔn)后簽訂。

一、合作方基本情況

1、公司名稱：特變電工股份有限公司；

2、法定代表人：張新；

3、住 所：新疆昌吉州昌吉市北京南路 189 號(hào)；

4、經(jīng)營范圍：變壓器、電抗器、互感器、電線電纜及其他電氣機(jī)械器材的制造、銷售、檢修、安裝及回收；機(jī)械設(shè)備、電子產(chǎn)品的生產(chǎn)銷售；五金交電的銷售；硅及相關(guān)產(chǎn)品的制造、研發(fā)及相關(guān)技術(shù)咨詢；礦產(chǎn)品的加工；新能源技術(shù)、 建筑環(huán)保技術(shù)、水資源利用技術(shù)及相關(guān)工程項(xiàng)目的研發(fā)及咨詢；太陽能系統(tǒng)組配件、環(huán)保設(shè)備的制造、安裝及相關(guān)技術(shù)咨詢；太陽能光伏離網(wǎng)和并網(wǎng)及風(fēng)光互補(bǔ)系統(tǒng)、柴油機(jī)光互補(bǔ)系統(tǒng)及其他新能源系列工程的設(shè)計(jì)、建設(shè)、安裝及維護(hù)；太陽能集中供熱工程的設(shè)計(jì)、安裝；太陽能光熱產(chǎn)品的設(shè)計(jì)、制造；承包境外機(jī)電行業(yè)輸變電、水電、火電站工程和國內(nèi)、國際招標(biāo)工程，上述境外工程所屬的設(shè)備、材料出口，對(duì)外派遣實(shí)施上述境外工程所需的勞務(wù)人員；進(jìn)口鋼材經(jīng)營；一 般貨物和技術(shù)的進(jìn)出口；電力工程施工總承包特級(jí)資質(zhì)、電力行業(yè)甲級(jí)資質(zhì)，可 承接電力各等級(jí)工程施工總承包、工程總承包和項(xiàng)目管理業(yè)務(wù)；可從事資質(zhì)證書許可范圍內(nèi)相應(yīng)的建設(shè)工程總承包業(yè)務(wù)以及項(xiàng)目管理和相關(guān)的技術(shù)與管理服務(wù)；房屋出租；水的生產(chǎn)和供應(yīng)（限下屬分支機(jī)構(gòu)經(jīng)營）；電力供應(yīng)；熱力生產(chǎn)和供 應(yīng)；貨物運(yùn)輸代理服務(wù)及相關(guān)咨詢；花草培育、銷售。

5、特變電工與本公司不存在關(guān)聯(lián)關(guān)系；

6、最近一個(gè)會(huì)計(jì)年度特變電工與本公司未發(fā)生類似業(yè)務(wù)；

二、合同主要內(nèi)容

鑒于，特變電工計(jì)劃在博茨瓦納（Botswana）開發(fā)太陽能項(xiàng)目，并密切跟蹤博茨瓦納的 2*100MW 太陽能熱發(fā)電廠（CSP）項(xiàng)目（以下簡(jiǎn)稱“光熱項(xiàng)目”）， 該項(xiàng)目預(yù)計(jì)今年（2021 年）業(yè)主方將啟動(dòng)國際招標(biāo)。公司與特變電工雙方同意建立合作伙伴關(guān)系，以共同準(zhǔn)備和完成該光熱項(xiàng)目的投標(biāo)及市場(chǎng)開發(fā)。雙方特此達(dá)成如下協(xié)議：

1．雙方合作原則

1.Principal of the Partnership

1.1 特變電工作為項(xiàng)目牽頭方，負(fù)責(zé)收集投標(biāo)信息，跟蹤和把控光熱項(xiàng)目的投標(biāo)進(jìn)度，主導(dǎo)投標(biāo)文件的編寫以及與促進(jìn)與光熱項(xiàng)目有關(guān)的其他必要工作。

1.1 TBEA, as the leading party, is responsible for collecting the bidding information, tracking and understanding the bidding progress of the CSP Project, leading the preparation of bidding documents, and other necessary work relating to promoting the CSP Project.

1.2 首航高科負(fù)責(zé)為光熱項(xiàng)目提供技術(shù)咨詢和服務(wù)，并全力支持提供該光熱項(xiàng)目投標(biāo)和推動(dòng)過程中所需的相關(guān)技術(shù)數(shù)據(jù)。

1.2 Shouhang High-Tech is responsible for providing advice and consultation on the understanding of the technical information of the CSP Project, and give full support for obtaining relevant technical data which is necessary for the bidding and promoting of the CSP Project.

1.3 根據(jù)本協(xié)議，雙方之間的合作伙伴關(guān)系是排他性的，且僅與光熱項(xiàng)目的準(zhǔn)備和投標(biāo)有關(guān)，不得擴(kuò)展到任何其他活動(dòng)。

1.3 The Partnership between the Parties under this Agreement is exclusive, and shall be formed solely relating to the preparation and bidding for the CSP Project and shall not be extended to any other activities.

1.4 除非雙方另有書面約定，否則本協(xié)議中的任何內(nèi)容均不得解釋為在雙方之間建立合資或合伙責(zé)任關(guān)系。

1.4Unless otherwise agreed in writing between the Parties, nothing in this Agreement shall be construed as establishing joint venture orpartnership liability relationship between the Parties.

1.5 各方應(yīng)自行承擔(dān)其責(zé)任范圍內(nèi)的費(fèi)用和支出。

1.5 Each Party shall bear the costs and expenses within its own responsibility.

1.6 在本協(xié)議的有效期內(nèi)，如果任何一方要退出合作伙伴關(guān)系，則應(yīng)至少在 光熱項(xiàng)目的投標(biāo)截止日期前 60 天以書面形式通知另一方。退出合作伙伴關(guān)系的 一方不得自行競(jìng)標(biāo) CSP 項(xiàng)目，也不得與任何第三方以任何形式或身份參與該光熱 項(xiàng)目的競(jìng)標(biāo)。

1.6 During the validity period of this Agreement, if any Party wants to withdraw from the Partnership, it shall notify the other Party in writing at least 60 days before the bid closing date of the CSP Project. The Party withdrawn from the Partnership shall neither bid for the CSP Project by itself nor cooperate with any third party in any form or capacity to participate in the bidding of the CSP Project.

2.雙方的責(zé)任

2.Responsibilities of Each Party

2.1 特變電工，作為該光熱項(xiàng)目的牽頭開發(fā)方，應(yīng)：

2.1 TBEA, acting as the lead developer of the CSP Project, shall:

A）與博茨瓦納礦產(chǎn)資源，綠色技術(shù)和能源安全部、博茨瓦納電力公司（以 下簡(jiǎn)稱“ BPC”）及其他相關(guān)部門保持聯(lián)系，以獲取光熱項(xiàng)目相關(guān)的項(xiàng)目信息更新和要求。

A）Keep in touch with the Ministry of Mineral Resources, Green Technology and Energy Security, Botswana Power Corporation (hereinafter referred to as "BPC") and other related departments in Botswana for any CSP Project updates and instructions.

B）采取所有必要手段，以確保博茨瓦納電力公司接受提交的光熱項(xiàng)目建議書，并通過可融資的項(xiàng)目建議書成功贏得該光熱項(xiàng)目。

B）Take all necessary steps to ensure that the CSP Project proposal is accepted by BPC in Botswana for the purpose of successfully winning the CSP Project with bankable proposals.

C）及時(shí)與首航高科共享項(xiàng)目相關(guān)文件和信息。

C）In a timely manner to share the relevant documents and information with Shouhang High-Tech.

D）必要時(shí)，與首航高科一起進(jìn)行實(shí)地考察。

D）Conduct site visits, together with Shouhang High-Tech, when needed.

E）負(fù)責(zé)準(zhǔn)備和提交整套投標(biāo)文件，光熱項(xiàng)目所需的相關(guān)澄清和其他工作。

E）Be responsible for preparing and submitting the whole set of bidding document, any clarification and other work necessary for the CSP Project.

F）在博茨瓦納和潛在融資機(jī)構(gòu)均可接受的融資期限和條件下，并經(jīng)博茨瓦 納和中國政府批準(zhǔn)，為該光熱項(xiàng)目的開發(fā)和實(shí)施提供所需資金。

F）Secure fund required for the development and implementation of the CSP Project at the financing term and conditions acceptable to both the Botswana and potential financing institutes and subject to approval from the Governments of Botswana and China.

2.2 首航高科，作為項(xiàng)目技術(shù)提供方，應(yīng)：

2.2 Shouhang High-Tech, acting as a technology provider, shall:

A）根據(jù)招標(biāo)文件的最終要求，以技術(shù)開發(fā)方的身份提供技術(shù)支持。若招標(biāo)方對(duì)技術(shù)提供方有投資要求，首航高科需遵照?qǐng)?zhí)行。

A）Provide technical support in accordance with the final tender requirements for technology provider. If the Botswana side has investment requirements for the technology provider, Shouhang High-Tech shall comply with them.

B）協(xié)助特變電工處理光熱項(xiàng)目技術(shù)部分招標(biāo)要求，分析技術(shù)可行性并按要求提供技術(shù)投標(biāo)文件。

B）Assist TBEA for the CSP Project technical part, analyses the Technical Feasibility and provide the technical bidding documents as required.

C）協(xié)助特變電工進(jìn)行現(xiàn)場(chǎng)實(shí)地考察和技術(shù)談判，幫助特變電工解決該光熱項(xiàng)目開發(fā)過程中的技術(shù)問題。

C）Assist TBEA for the site visit and technical negotiation, help TBEA solve the technical problems in developing the CSP Project.

D）為投標(biāo)提供全電廠的概念設(shè)計(jì)方案，包括優(yōu)化裝機(jī)容量、儲(chǔ)存時(shí)間、定 日鏡數(shù)量、電量計(jì)算等必要的投標(biāo)技術(shù)服務(wù)工作。

D）Provide the whole plant conceptual design for bidding, including optimal installed capacity, storage time, heliostats numbers, calculation of production and other necessary technical service work for bidding.

三、本協(xié)議對(duì)上市公司的影響

1、公司具備履行本協(xié)議的能力、資金、人員、技術(shù)和產(chǎn)能均能夠保證本協(xié)議的順利履行；

2、本協(xié)議生效后，公司將與特變電工組成聯(lián)合體，共同投標(biāo)或開發(fā)博茨瓦納（Botswana）太陽能光熱發(fā)電項(xiàng)目，公司將密切跟蹤博茨瓦納的 2*100MW 太 陽能熱發(fā)電廠（CSP）項(xiàng)目的相關(guān)進(jìn)展。

3、海外光熱發(fā)電市場(chǎng)空間廣闊，公司目前在積極跟蹤多個(gè)海外光熱發(fā)電項(xiàng)目的進(jìn)展。非洲擁有豐富的太陽能資源，非常適合太陽能光熱發(fā)電電站的建設(shè)， 是公司重點(diǎn)跟蹤的海外市場(chǎng)之一。如本協(xié)議涉及項(xiàng)目能順利中標(biāo)，將為公司未來在非洲開發(fā)太陽能光熱發(fā)電項(xiàng)目提供支撐。

四、風(fēng)險(xiǎn)提示

1、該協(xié)議為公司與特變電工合作開發(fā)海外太陽能光熱項(xiàng)目協(xié)議，具體受項(xiàng)目招投標(biāo)進(jìn)度、項(xiàng)目所在地立項(xiàng)審批等客觀因素影響。公司將按照相關(guān)規(guī)定，及時(shí)披露該項(xiàng)目的進(jìn)展情況，敬請(qǐng)廣大投資者注意投資風(fēng)險(xiǎn)。

2、如遇項(xiàng)目所在地有關(guān)政策調(diào)整變化，可能存在項(xiàng)目招投無法按時(shí)推進(jìn)的風(fēng)險(xiǎn)，敬請(qǐng)廣大投資者注意投資風(fēng)險(xiǎn)。

3、本協(xié)議的履行對(duì)公司本年度經(jīng)營業(yè)績無重大影響。

五、合同審議程序

該合同無需本公司董事會(huì)審議批準(zhǔn)，也不需獨(dú)立董事和律師發(fā)表意見。

六、備查文件

1、雙方簽訂協(xié)議。
